These Terms of Use (“Terms,” “Agreement,” or “ToU”) constitute a binding legal agreement between you (“Client,” “you,” or “your”) and IMFARA APPAREL (“IMFARA Apparel,” “we,” “us,” “our,” or “Company”) regarding your access to and use of our website, apparel services, and buying house operations.

1. ACCEPTANCE OF TERMS

  • Trademarks and service marks
  • Proprietary processes and methodologies
  • Published materials and documents

User-Generated Content

Your Submissions: If you submit content (feedback, specifications, designs), you grant IMFARA Apparel a perpetual, royalty-free license to use such content.

Responsibility: You are solely responsible for content you submit and warrant that:

  • You own or have rights to the content
  • Content does not violate anyone’s rights
  • Content is not defamatory or illegal

  • Buying house services and consultancy

  • Quality control and inspection
  • Export and shipping services
  • Custom and bulk orders

No Guarantees: IMFARA Apparel does not guarantee:

  • Specific production timelines (subject to unforeseen circumstances)
  • Fashion trend accuracy or market success
  • Color exactness (may vary due to dyes and materials)
  • Perfect reproduction of samples or designs
  • Defect-free production
  • Specific sales or business outcomes

5. ORDERS & PRICING

Order Process

  1. Quotation: Client requests quotation with specifications
  2. Acceptance: Client accepts quotation and terms
  3. Deposit: 50% deposit required to commence production
  4. Production: Manufacturing proceeds per agreed timeline
  5. Quality Inspection: Final inspection before shipment
  6. Final Payment: Remaining 50% due before shipment
  7. Delivery: Goods shipped via agreed logistics

Pricing Terms

  • All prices quoted are subject to confirmation
  • Prices valid for 30 days from quotation date
  • Price subject to change based on fabric costs and market conditions
  • Taxes and duties are client’s responsibility
  • Shipping costs additional unless otherwise agreed

Payment Terms

  • 50% deposit required to start production
  • 50% balance due before shipment
  • Payment method: Bank transfer, wire transfer, or agreed method
  • Late payments may incur 1.5% monthly interest
  • Non-payment may result in order cancellation

6. PRODUCTION & TIMELINE

Lead Times

  • Standard orders: 30-60 days (subject to order complexity)
  • Rush orders: Available at premium rate
  • Timelines are estimates and subject to change
  • Unforeseen circumstances may delay production

Delays

IMFARA Apparel is NOT liable for delays due to:

  • Fabric/material availability
  • Supplier delays
  • Weather or natural disasters
  • Government actions or import/export issues
  • Labor strikes or unforeseen circumstances
  • Quality control requirements
  • Any cause beyond reasonable control

Production Changes

  • Design changes requested after production starts: Additional charges apply
  • Material changes: Must be approved in writing with cost adjustment
  • Quantity changes: Subject to feasibility and timeline impact

7. QUALITY CONTROL & INSPECTION

Quality Standards

IMFARA Apparel maintains quality standards through:

  • Raw material inspection
  • In-process quality checks
  • Final product inspection before shipment
  • Compliance with agreed specifications

Inspection Rights

  • Client may arrange third-party inspection at own cost
  • Final inspection occurs at IMFARA Apparel facility or via approved inspector
  • Goods accepted after inspection: No subsequent claims
  • Issues must be reported BEFORE goods acceptance

Defects & Issues

  • Minor defects: May be accepted with price adjustment
  • Major defects: Subject to rework or replacement at IMFARA’s discretion
  • Defects claimed AFTER shipment: Not covered
  • Defects due to improper handling: Client’s responsibility

8. SHIPPING & DELIVERY

Shipping Terms

  • Shipping method: As agreed (FOB, CIF, etc.)
  • Shipping cost: Client responsibility unless otherwise agreed
  • Risk of loss transfers to client upon shipment
  • IMFARA not liable for shipping delays or damage

Delivery

  • Delivery timeline begins after final payment and customs clearance
  • Delays in customs clearance: Not IMFARA’s responsibility
  • Delivery address: Client’s responsibility to provide accurate address
  • Lost or damaged shipments: File claim with shipping company

Returns & Damages

  • Goods must be inspected upon receipt
  • Claims for damage/loss must be filed with shipper within 15 days
  • IMFARA not liable for post-shipment issues

9. INTELLECTUAL PROPERTY IN DESIGNS

Design Ownership

  • Client-provided designs: Client retains ownership
  • IMFARA-created designs: IMFARA retains ownership unless agreed otherwise
  • Modifications to designs: Ownership per written agreement
  • Third-party designs: Client responsible for obtaining rights

Design Confidentiality

  • Both parties agree to maintain design confidentiality
  • Designs may not be shared with competitors without written consent
  • IMFARA may retain samples for quality/portfolio purposes
  • Proprietary designs protected per industry standards

10. LIMITATION OF LIABILITY

Disclaimer of Warranties

IMFARA APPAREL MAKES NO WARRANTIES, EXPRESS OR IMPLIED:

  • Merchantability or fitness for particular purpose
  • Non-infringement of third-party rights
  • Accuracy of color or design reproduction
  • Uninterrupted or error-free service
  • Specific sales or business outcomes

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • IMFARA Apparel’s liability limited to amount paid for goods
  • NOT liable for indirect, incidental, special, or consequential damages
  • NOT liable for lost profits, revenue, or business opportunity
  • NOT liable for color variations or minor quality differences
  • NOT liable for fashion or market acceptance of products

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless IMFARA Apparel from any claims, damages, losses, or expenses arising from:

  • Your breach of these Terms
  • Your use of IMFARA Apparel services
  • Your violation of applicable laws
  • Your infringement of third-party rights
  • Claims related to your designs or materials
  • Your actions or omissions

12. DISPUTE RESOLUTION & GOVERNING LAW

Governing Law

These Terms are governed by the laws of Bangladesh without regard to conflict of law principles.

Dispute Resolution Process

Step 1: Good Faith Negotiation
Parties attempt to resolve disputes through discussions within 30 days.

Step 2: Mediation
If unresolved, parties agree to non-binding mediation in Dhaka.

Step 3: Arbitration
Disputes resolved through binding arbitration under Bangladesh Arbitration Act, 2001:

  • Single arbitrator
  • Proceedings in Dhaka, Bangladesh
  • Arbitrator’s decision is final and binding

Jurisdiction

Both parties consent to exclusive jurisdiction of courts in Dhaka District, Bangladesh.

13. MODIFICATIONS TO TERMS

Right to Modify

IMFARA Apparel reserves the right to modify these Terms at any time.

Notice of Changes

  • Significant changes communicated via email or website notice
  • Continued use constitutes acceptance of modified Terms

14. TERMINATION

Termination by Client

Client may terminate services by written notice to apparel@imfara.com.

Termination by IMFARA Apparel

IMFARA Apparel may terminate services immediately if:

  • You breach these Terms
  • You engage in illegal activities
  • You violate applicable laws
  • Non-payment of invoices
  • IMFARA ceases operations

Effects of Termination

  • Your license to use services ceases
  • Payment obligations continue
  • Survival clauses remain in effect
  • IMFARA retains ownership of designs/data

15. CONFIDENTIAL INFORMATION

Confidentiality Obligations

Both parties agree to maintain confidentiality of:

  • Business plans and financial information
  • Proprietary processes and methodologies
  • Client lists and contact information
  • Order details and specifications
  • Pricing and cost information
  • Strategic information

Exceptions

Confidential information does not include information that is:

  • Publicly available
  • Already known
  • Independently developed
  • Required to be disclosed by law

16. PAYMENT & INVOICING

Invoice Terms

  • Standard payment terms: Net 30 days from invoice
  • Payment method: Bank transfer or agreed method
  • Late payment interest: 1.5% per month
  • Non-payment may result in:
    • Suspension of services
    • Order cancellation
    • Legal action for collection
    • Legal fees charged to delinquent accounts

18. SEVERABILITY

If any provision is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and remaining provisions continue in full force.

19. ENTIRE AGREEMENT

These Terms, along with our Privacy Policy and any executed contracts, constitute the entire agreement regarding your use of IMFARA Apparel services and supersede all prior agreements.

20. WAIVER

IMFARA Apparel’s failure to enforce any provision does not constitute a waiver of that provision. Enforcement is at IMFARA’s sole discretion.
